Company Secretary

The first thing to be clear about: a Company Secretary is NOT the same as a company secretary. A Company Secretary fulfills many of the administrative tasks required by Companies House. If the company does not have a Company Secretary, a company Director must ensure that these tasks are completed.

And there is a whole host of things to be done. Such as maintaining statutory registers, ensuring that the company files statutory information promptly, providing members and Directors with notice of meetings and sending copies of resolutions and agreements to Companies House. None of it difficult, but does need to be handled efficiently, and professionally, and Directors are required by law to facilitate the required support so that these duties can be properly fulfilled.

You'll need to authorise us to act as your Secretary, but we can review your information lodged with Companies House, and provide all the required aspects of the role, including: obtaining and filing any amendments or changes to your filings, identifying, recording, and diarising the dates upon which statutory filings must be made, informing Directors of the dates and their responsibilities (to ensure that required activities are communicated to the Secretary) and informing Directors and members if these activities are not performed.
